Anthropic made its IPO registration statement public on SEC EDGAR on October 26; EDGAR shows it accepted at 9:00 a.m. New York time. The S-1 says Anthropic has applied to list its Class A common stock on the Nasdaq Global Select Market under the symbol ANT. The price range and the number of shares are still blank.
THE NUMBERS
Revenue was $41 million in 2023, $386 million in 2024 and $4.6 billion in 2025. In the six months to June 30, 2026 it was $16.3 billion, up from $1.2 billion a year earlier, which the filing puts at 1,300% growth. Net losses were $1.5 billion, $8.3 billion and $42.0 billion for those three years, and $80.7 billion for the first half of 2026. Most of that is a paper charge tied to Anthropic's rising valuation: $72.4 billion of the first-half loss is the change in fair value of its convertible notes, derivatives and SAFEs. The operating loss for the half was $693 million, down from $2.1 billion a year earlier. The second quarter alone brought $11.6 billion of revenue, up from $787 million a year earlier, and an operating profit of $974 million, an 8% margin, after a $1.67 billion operating loss in the first quarter. Cash from operations was positive $3.9 billion for the half, against $1.5 billion used a year earlier. The 2025 revenue and loss match what Reuters reported from the confidential draft on September 29.
CUSTOMERS AND STAFF
More than 11,900 customers paid Anthropic $100,000 or more over the twelve months to September 30, 2026, up from more than 950 a year earlier. More than 1,900 paid $1 million or more and about 250 paid $10 million or more. Anthropic puts its net revenue retention at about 900%. Headcount went from about 940 at the end of 2024 to about 5,300 on September 30, 2026, and the company says Claude wrote over 90% of the contributions to its codebase in September.
WHO CONTROLS IT
Anthropic stays a public benefit corporation. Its Long-Term Benefit Trust holds Class T stock, which elects the Class T directors, a majority of the board. A single Class F share, held by an LLC of the seven co-founders, carries 50.1% of the vote on ordinary stockholder matters, so Anthropic will be a controlled company under Nasdaq rules. Class A shares carry one vote each. Class N shares, held mainly by strategic partners, carry none, and employees other than the co-founders get Class E shares that vote only on limited matters.
THE BANKS
Twenty-two underwriters are listed, led by Goldman Sachs and Morgan Stanley, then J.P. Morgan, Citigroup, Barclays and Wells Fargo.
WHAT THE FILING LEAVES BLANK
The price range, the share count, revenue for the quarter ended September 30, run-rate revenue as of October 31 and the total of its compute commitments. Those usually arrive in an amended filing before the roadshow. On models, the filing names Mythos 5.1, Fable 5.1 and Opus 5.5 as its latest releases; it does not mention Fable 5.5.
